Project Initiation:

- Upon accepting the proposal and signing the project agreement, via mail or signing the hardcopy agreement and advance payment, Webrins Technologies Pvt Ltd ("the Company") commits to developing the project as per the proposal.

- The project commencement date, as well as the expected timeline for completion, will be clearly defined in the proposal/agreement.

Change Management:

- Changes to the proposal or client requirements that constitute more than a 5% alteration to the project infrastructure or core functionalities will be considered major modifications or new module updates. These changes will require separate negotiations and may incur additional charges.

- Change requests must be formally documented and submitted by the client. The Company will assess the feasibility, impact on the project timeline, and additional costs associated with the requested changes.

Client Responsibilities:

- The client shall provide all necessary content, materials, and information required for the project within the timelines specified in the project schedule. Failure to do so may result in project delays.

- Timely feedback and approvals are essential during the development process to ensure smooth progress. Any delays caused by the client in providing feedback or approvals may impact the project timeline and delivery date.

- The client agrees to promptly address any issues or concerns that may arise during the project. Effective communication and collaboration between the client and the Company are essential for successful project completion.

Payment Terms:

- Invoices will be issued according to the payment schedule outlined in the project agreement. The client is responsible for making payments as per the agreed-upon terms.

- Payment methods accepted by the Company include Direct Bank Transfer, UPI Transfer, Wire Transfer, Paypal, or through payment links directly provided by Webrins Technologies Pvt Ltd.

- Delays in payments exceeding the specified timeframe or extending beyond 60 days may result in adjustments to the project pricing, up to 50% of the original estimate.The Client agrees to pay the Company the fees as specified in the project proposal or agreement. Payment terms, including billing cycles and due dates, shall be outlined in the agreement

Support and Maintenance:

- Projects delivered by the Company will include one year of support for bug fixes, starting from the project delivery date. The client can request bug fixes during this period at no additional cost.

- Any updates or modifications to the project requested by the client after the initial delivery may be subject to additional charges, which will be mutually agreed upon by both parties.

Third-Party Modifications:

- The Company shall not be held responsible for providing support for projects that have been altered or updated by any third party without prior consent. Any modifications made by third parties are the sole responsibility of the client.

- Third Parties for projects : The Company may utilize third-party APIs and services to enhance the functionality and features of the projects. These third-party APIs and services may include but are not limited to payment gateways, data providers, mapping services, messaging services, and other related services. The Client acknowledges that the performance, availability, and functionality of third-party APIs and services are outside the control of the Company. The Company cannot guarantee uninterrupted or error-free access to these third-party APIs and services. Any issues or limitations related to third-party APIs and services are the responsibility of the respective third-party vendors. The Company shall not be held liable for any damages, losses, or expenses incurred by the Client or any third party arising out of or in connection with the performance, availability, or functionality of third-party APIs and services. The Client assumes all risks associated with the use of third-party APIs and services. The client is completely responsible for making sure that the third-parties used are trusted and genuine.

Data Backup:

The Company is not responsible for maintaining backups of project data for projects that have been delivered, cancelled, or terminated. It is the client's responsibility to ensure data backup procedures are in place to safeguard their information.

Project Termination:

Projects that remain idle or are stopped due to payment lapses for more than 5 months will be terminated with or without notice. No refunds will be provided for such projects, and any outstanding payments must be settled before the termination.

Refund Policy:

- In the event that a project is discontinued due to circumstances or errors on the part of the Company, a refund of less than 40% of the total project amount paid will be issued. Refund requests must be submitted in writing and will be subject to review and approval by the Company. Client

- If the client-side cancellation of the project occurred. The rest of the amount other than spend for project will be refunded as decided by the company.

Limitations of Liability:

The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the project, including but not limited to loss of profits, data, or business opportunities. The total liability of the Company for any claims arising under this Agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim

Entire Agreement:

- These Terms and Conditions, along with any project proposal or agreement, constitute the entire agreement between the Client and the Company and supersede any prior agreements or understandings, whether written or oral. The entire agreement is applicable for all the projects created through the website and direct contact, also for both National and International projects.

- By accepting these terms and conditions, both parties acknowledge and agree to comply with the specified guidelines and obligations throughout the duration of the project. Any disputes arising from the interpretation or implementation of these terms shall be resolved through amicable discussions between the client and the Company.
